The contract design was built for upgradability under supervision: Proxy is the permanent public address holders interact with, Impl holds the logic governing transfers and issuance, and Store holds the ledger, so the implementation can be replaced without changing the token's address.
The Custodian contract sits behind Proxy and Store and resolves to an offline keyset, creating an offline approval path for upgrades. PrintLimiter caps how much GUSD can be printed with an online key alone. On the reserve side, a US bank holds the dollars and an independent accounting firm engaged by Gemini's audit committee examines the balance.
GUSD is a payment and settlement instrument, not a governance or fee token. It holds dollar value on-chain between trades, settles transfers outside banking hours, and provides a dollar leg in decentralized exchange pools and lending markets.
The regulatory posture is one half: a New York trust company issuer under NYDFS supervision, with the dollar balance examined monthly by an outside firm rather than self-reported. The architecture is the other: many early stablecoins were immutable or controlled by a single owner key, whereas a custodianship chain ending in offline keys made upgrades and issuance deliberate, auditable actions.
Against the largest fiat-backed stablecoins, GUSD is smaller and more tied to one exchange for minting and redemption. Keys approving high-risk actions are held offline in Gemini's cold storage and managed on hardware security modules rated FIPS PUB 140-2 Level 3 or higher. GUSD is a centralized liability, so holders depend on Gemini staying solvent, staying licensed and honoring redemption. The issuer can upgrade the implementation and can be required to restrict addresses under legal orders. Reserve assurance comes from periodic examination, leaving a gap between the last report and now. Liquidity is thinner than for the largest stablecoins, and US stablecoin rules continue to evolve.
GUSD is a reference point for the argument that stablecoins belong inside a supervisory framework. Its 2018 whitepaper argued that a fiat-pegged token is as much a trust problem as a computer science one, and proposed licensing, examination and offline approval as the answer.
